Job Description Job Description Transactional Attorney Transactional Attorney - New York, NY (Manhattan) A well-respected Manhattan law firm is seeking a Transactional Attorney to join its growing corporate and business practice. The firm represents a diverse range of clients, including emerging companies, established businesses, entrepreneurs, and institutions. This role offers the opportunity to work on sophisticated commercial transactions, corporate governance matters, and contract drafting within a collaborative team environment. Salary & Benefits - Competitive base salary range of $150,000 - $170,000, depending on experience - Comprehensive health, dental, and vision insurance - 401(k) plan with employer contribution - Paid vacation, sick leave, and holidays - Professional development and CLE support - Performance-based bonus opportunities Qualifications - Juris Doctor (JD) from an accredited law school - Admission to the New York Bar - 3 years of transactional experience, preferably in corporate, commercial, or business law - Strong experience drafting and negotiating commercial contracts, corporate governance documents, and business agreements - Familiarity with entity formation, operating agreements, M&A work, and regulatory compliance matters - Excellent legal research, writing, and analytical skills - Strong communication skills and the ability to manage multiple matters independently - Client-focused mindset and ability to work effectively with internal teams Responsibilities - Draft, review, and negotiate commercial contracts, including service agreements, partnership agreements, NDAs, and licensing documents - Advise clients on corporate governance, compliance, and entity formation - Assist with mergers, acquisitions, restructurings, and other business transactions - Conduct legal research and prepare memoranda as needed - Manage transactional matters from initial consultation through closing - Collaborate with internal teams to support client objectives and ensure seamless execution of deals - Maintain strong client relationships and provide ongoing strategic legal guidance - For this position, you must be currently authorized to work in the United States without the need for sponsorship for a non-immigrant visa.
